Terms and Conditions for Affiliates

The terms for promoting merchants through Moonbase's affiliate programme: attribution, commission, payouts and verification.

Written By Tobias Lønnerød Madsen

Version of 12 October 2026. New affiliates accept these terms when they join. If you accepted an earlier version, you are asked to accept this one in the affiliate app, and from 16 November 2026 you must accept it to keep using your Affiliate Account. The version you accepted is under Account settings > Terms and conditions.

1. Introduction

We are Moonbase AS, a Norwegian limited liability company with company registration number 931 730 258 and our registered address at Utsikten 6, 3718 Skien, Norway. We provide a platform that software providers ("Merchants") use to sell their products, with us as the merchant of record, and to run affiliate programmes.

These Terms and Conditions for Affiliates (the "Terms") govern your Moonbase affiliate account (the "Affiliate Account") and the commission we pay you. "We", "us" and "our" mean Moonbase AS. "You" and "your" mean the person or business that holds the Affiliate Account.

Your agreement with us (the "Agreement") consists of these Terms and the affiliate contracts you have accepted from Merchants (each a "Contract"), as shown in the affiliate app. If a Contract and these Terms conflict, the Contract decides the commission it pays, and these Terms decide everything else.

You act in the course of your business or profession, not as a consumer, and you are not our employee, agent or partner, or the Merchant's.

2. How the programme works

A Merchant invites you to a Contract. The Merchant decides its terms, and the Contract sets:

  • the dates it is active;
  • the rules that decide which sales earn you commission: a coupon code, a link with particular UTM parameters, or particular products;
  • the commission rate, and whether it is calculated from the Merchant's share after sales tax (such as VAT) and fees, or from the sale price before fees (sales tax is never included); and
  • any upfront cost the Merchant recovers by keeping a set share of your commission on each sale until it is repaid.

We operate the platform, match sales to the rules in each Contract, and pay your commission. We sell the Merchant's products as the merchant of record, so when you promote them, we buy that promotion from you at the commission the Contract sets, and the Merchant bears its cost. A sale is attributed to you when it matches a rule in an active Contract: the buyer used your coupon code, reached the checkout through a link carrying your UTM parameters, or bought a product your Contract covers. A Merchant can also attribute a sale to your Contract directly through our API. We do not use cookies to attribute sales, and we cannot attribute a sale that neither matches a rule nor is attributed by the Merchant.

The Merchant decides the Contract and can change it at any time, including its rates, rules and end date. A change applies to sales paid after it, not to commission already earned. The Merchant is responsible for its products, prices and any promises it makes to you outside the Contract.

3. Your Affiliate Account

You must be at least 18 years old, and must not be based in, or have your Payout Account at a bank in, a country or territory we cannot onboard: Afghanistan, Antarctica, Belarus, the Central African Republic, Cuba, Curaçao, the Democratic Republic of the Congo, Haiti, Iran, Iraq, Libya, Mali, Myanmar, the Netherlands Antilles, Nicaragua, North Korea, Russia, Sint Maarten, Somalia, South Sudan, Sudan, Syria, Venezuela, Yemen and Zimbabwe, or regions under sanctions, such as the parts of Ukraine that are occupied. We may update this list where the law, sanctions or our payment partners require it.

You must keep your details accurate and up to date, including your name or business name, tax number, address and the bank account you have given us for Payouts (your "Payout Account"), and keep your sign-in details secure. Tell us at once if you suspect that your Affiliate Account has been compromised.

4. Verification

Because we pay you, we may need to verify who you are, and for a business, who owns and controls it. At any time we may ask you to:

  • give us your legal details, such as your legal name, address, date of birth, and tax and VAT numbers;
  • have yourself, or the people who represent, own 25% or more of, or control your business, verify their identity with our identity provider, which checks an identity document and a photo of the person against it;
  • send us documents, such as proof of address, proof that your Payout Account is yours, or a registration extract; and
  • answer questions about how you promote Merchants or about particular sales.

Unless we say otherwise, you have 14 days to answer. If we cannot complete the verification, or you do not answer in time, we may hold back your Payouts under section 8 or close your Affiliate Account. We use what we collect as described in our Privacy Policy.

5. How you may promote Merchants

When you promote a Merchant, you must:

  • make clear that you earn a commission, as advertising and consumer protection laws require;
  • describe the Merchant's products truthfully, and not make claims or promises the Merchant has not made;
  • follow any rules the Merchant sets for its brand, coupon codes and links;
  • send marketing messages only to people who have agreed to receive them, and follow the law on email, messaging and cookies in the places you promote; and
  • follow the law and the terms of the platforms you use.

You must not:

  • pretend to be the Merchant or Moonbase, or suggest that either endorses you beyond the Contract;
  • buy through your own codes or links, or have people connected to you do so, to earn commission;
  • use spam, fake reviews, misleading advertising, or traffic you have paid for in breach of the Merchant's rules;
  • bid on the Merchant's brand names in search advertising, or use its trademarks in domain names, unless the Merchant allows it; or
  • promote Merchants alongside illegal, adult, hateful or harmful content.

6. Commission

You earn commission on a sale when it matches a rule in a Contract, it is paid while the Contract is active, and it is a real sale from a Merchant whose account is live. Test orders, and orders where nothing was paid, earn nothing. Where a sale matches more than one rule in the same Contract, the highest rate applies. Renewals of a subscription earn commission while the Contract is active. If a sale earns commission under several Contracts, each pays, and if together they would come to more than the Merchant's share of the sale, each is reduced in proportion.

If a sale is refunded, the commission on the refunded part is reversed, as a deduction from your Payout for the month of the refund, even if the commission was paid earlier. If a buyer disputes the payment with their bank (a chargeback), the whole commission on that sale is reversed, and restored if the dispute is decided in our favour.

Commission earned through fraud, or through a breach of section 5, is not owed. We may reverse it, and recover it if it has been paid.

7. Payouts

We collect your commission from all Merchants into one payout for each calendar month (a "Payout"). A month closes on the 1st of the following month and its Payout is scheduled for the 15th. We send Payouts in batches after their scheduled date, by bank transfer to your Payout Account, converted into its currency at the transfer provider's rate. Our transfer provider's fee applies to the amount sent, and your bank may charge you to receive it.

If a Payout is under 50 in every currency it holds (such as 50 EUR or 50 USD), we carry it into the next one. A month that ends negative is not paid, and the negative amount is deducted from later Payouts.

We do not charge you a fee for Payouts today. We may introduce one with at least 30 days' notice.

Your Payout Account must be held in your own legal name, or your business's registered name. We may ask you to prove that it is yours, and may refuse an account at a bank in a country we cannot pay out to. If you have no Payout Account when a month closes, we keep its Payout until you add one.

Self-billing. You agree that we issue the invoices for our purchases of your promotion on your behalf (self-billing). We issue one for each Payout when it closes, covering the commission in it, including any carried into it from earlier months. You will not issue your own invoices for the same commission, you accept each self-billed invoice unless you tell us within 30 days of receiving it that it is wrong, and you must tell us at once if your VAT registration or tax details change. If you are a Norwegian business registered in the Norwegian VAT Register (Merverdiavgiftsregisteret), we add Norwegian VAT to the amount we pay you and show it on the invoice. Otherwise the invoice shows no Norwegian VAT, or the reverse charge where it applies. Your details are fixed on an invoice when its Payout closes.

You are responsible for reporting your commission as income and paying any tax on it. We do not issue tax forms, such as US Form 1099, unless the law requires us to.

8. Holds, reserves and set-off

We may hold back a Payout, or part of it, for the time being (a "Hold") while:

  1. verification, or an answer to something we asked for, is required and overdue, or your verification has been rejected;
  2. your Payout Account is new or changed and we have not yet checked it;
  3. we have reason to suspect fraud, a breach of these Terms, or that paying you could break the law or sanctions;
  4. a law, a court or an authority requires it; or
  5. your Affiliate Account is closing, as described in section 9.

A Hold only delays the transfer. We release it when its reason has gone and pay what you are owed, less anything you owe us. If we reasonably expect reversals of your commission to be more than your future Payouts can cover, we may also keep back part of your earned commission until the risk has passed.

We may deduct anything you owe us, including reversed commission, from any amount we owe you.

9. Ending the Agreement

You may close your Affiliate Account at any time by asking us through support. We may close it with 30 days' notice, or straight away if you breach these Terms, if we suspect fraud, if you do not complete verification, or if the law requires it. A Contract ends on its end date, or when the Merchant ends it. No new sales are made through a Merchant's account once it has closed.

When your Affiliate Account closes, it stops earning commission. We keep your balance for 120 days to cover refunds and chargebacks on the sales that earned it, and then pay what you are owed, whatever its size, unless it was earned through a breach of these Terms. We delete your account details 30 days after it closes, and keep your Payouts and invoices for as long as the law requires, normally 5 years from the end of the financial year.

10. Personal data

We are the controller of the personal data in your Affiliate Account, and of what we collect in verification and to pay you. Our Privacy Policy, available at https://affiliates.moonbase.sh/privacy-policy, describes how we handle it. We share your name, email address and the commission you earn with the Merchants you hold Contracts with.

We do not give you buyers' names or contact details. The details of the sales shown to you, such as order IDs, products and amounts, and totals by country, referrer and UTM parameter, are for checking your commission only, and you must keep them confidential.

11. Intellectual property

We grant you a limited, non-exclusive, non-transferable and revocable right to use the affiliate app for the purposes of the Agreement. You may use a Merchant's names, logos and materials only as that Merchant allows.

12. Limitation of liability

We are not liable for a Merchant's products, for a Merchant's decisions about a Contract, for sales that cannot be attributed to you under section 2, or for losses caused by circumstances beyond our reasonable control. We are not liable for consequential, indirect or special losses, including loss of profit, opportunity or goodwill.

Our total liability to you under the Agreement is limited to the commission we paid you in the 12 months before the first incident giving rise to your claim. This limit does not apply to commission we owe you. Nothing in the Agreement limits liability that cannot be limited by law, including liability for gross negligence or wilful misconduct.

You will indemnify us against claims, damages and losses arising from the way you promote Merchants or from your breach of these Terms.

13. Changes to these Terms

We may update these Terms. We will tell you about an update by email at least 30 days before it takes effect, unless the law requires a change sooner or the change does not disadvantage you. From the day it takes effect, you must accept the update in the affiliate app to keep using your Affiliate Account. If you do not agree, you may close your Affiliate Account before then.

14. Communications

You agree to receive communications from us electronically, and that they count as written. Emails to the address on your Affiliate Account count as delivered when sent. Contact us through support in the affiliate app or at support@moonbase.sh. Questions about a Contract's terms are for the Merchant.

15. General

The Agreement is the entire agreement between us on its subject matter and replaces earlier ones. If any part of it is invalid, the rest is not affected. A failure or delay in exercising a right is not a waiver of it. We may transfer our rights and obligations under the Agreement to another company by notice to you; you may not transfer yours without our consent.

The Agreement is governed by the laws of Norway. Disputes are settled by the Norwegian courts, with Oslo District Court (Oslo tingrett) as the agreed venue.
